UAE small business relief now runs to 2029

The AED 3 million threshold has been extended for three more years. It is a revenue test rather than a profit test, and that creates a growth decision most UAE businesses have not made yet.

What changed on 7 August

On 7 August 2026 the Ministry of Finance issued Ministerial Decision No. 131 of 2026. It extends small business relief for corporate tax purposes to tax periods ending on or before 31 December 2029. The AED 3 million revenue threshold is unchanged.

Most of the coverage has treated this as a compliance story. It is a three-year planning window, and the way the relief is written creates a commercial decision that a lot of UAE businesses are about to make by accident.

I am a marketer rather than a tax adviser, and nothing here is tax advice. Confirm your own position with your accountant. What follows is what this decision does to a growth plan, because that part is being missed.

The three details that change the decision

It is a revenue test, not a profit test

The threshold is AED 3,000,000 of revenue for each tax period. Ministerial Decision No. 73 of 2023 then adds the part that matters: a taxable person cannot elect the relief if revenue in any relevant or previous tax period has exceeded that figure. Tax periods in scope are those commencing on or after 1 June 2023.

Revenue itself is determined in accordance with the accounting standards accepted in the UAE, so it is your top line rather than anything adjusted for tax.

Which means turnover decides it. A business doing AED 2.9m of revenue on thin margins sits inside the relief. A business doing AED 3.1m at 40 per cent net sits outside it. Your profitability has nothing to do with your eligibility.

It is not automatic

Small business relief has to be elected through the corporate tax return for each relevant period. Registration and filing obligations continue either way, with a simplified return available for those who elect. The Federal Tax Authority confirmed on 3 August 2026 that eligible businesses must still register, file and keep records.

Electing it costs you your losses

Under Ministerial Decision No. 73 of 2023, where the relief is elected in a tax period, any tax losses incurred in that period cannot be carried forward to any subsequent period. The same applies to net interest expenditure incurred in that period.

That is the point that catches growth-stage businesses, and I will come back to it.

Two exclusions worth checking first

A Qualifying Free Zone Person cannot elect the relief, because it already benefits from 0 per cent on qualifying income. Nor can a constituent company of a multinational enterprise group. Between them these cut out a large share of the UAE market, so if you are a free zone company reading this as though it applies to you, check before you plan around it.

There is also an anti-abuse provision. Where the Authority establishes that businesses have been artificially separated and combined revenue crosses the threshold, that is treated as an arrangement to obtain a corporate tax advantage. Splitting the company in two to stay under AED 3m is not a plan.

The growth decision this creates

Picture a UAE business turning over AED 2.6m. It is profitable, it has a small team, and it has been sitting comfortably inside the relief since 2023. The extension has just given it three more years of the same treatment.

That business now has to answer a question it has probably been avoiding. Are we going to cross AED 3 million, and when?

The threshold does not work like a tax band. There is no tapering and you do not pay a little more as you grow through it. You cross the revenue line and the relief goes, and it goes permanently. The test looks at the current period and every previous relevant period, so once you have exceeded AED 3m you cannot drop back under and reclaim it.

That produces three positions, and only two of them are defensible.

Position one: stay under deliberately

Some businesses genuinely should. A consultancy with two principals, high margin and no ambition to build a team can run at AED 2.5m indefinitely and do very well out of it. If that is the plan, own it, and stop paying for marketing designed to scale something you have decided not to scale.

Position two: cross it properly

Decide you are going through AED 3m, pick the year, and build for it. Corporate tax at 9 per cent applies to taxable income above AED 375,000, so on the profit generated by the additional revenue the arithmetic is usually straightforward and usually favourable. If AED 1m of extra revenue produces AED 300,000 of extra profit, the tax on it does not come close to the value of the growth. Nobody sensible turns down profitable revenue to protect a compliance simplification.

Position three: hover

This is where the damage happens. The business does not decide. It grows to AED 2.8m, gets nervous, quietly slows down, defers the hire, cuts the marketing budget in the last quarter to keep the number down, and does the same thing the following year. Three years pass. The relief expires in 2029 regardless, and the business arrives at that point with the same revenue, an older brand, no pipeline it built deliberately and no data on what actually worked.

“Position three is the one the extension makes more likely, and it is the one worth naming out loud in your next management meeting.”

The loss carry-forward trap

If your business is investing ahead of revenue, this is the paragraph to take to your accountant.

A company spending deliberately to build a market position may run a tax loss in a period. Under normal rules that loss can be carried forward, subject to conditions, and set against future taxable income. Elect small business relief in that period and the loss incurred in it cannot be carried forward at all.

So there is a scenario where a business under AED 3m of revenue, running a planned loss while it builds, elects the relief to keep filing simple, and gives up the value of that loss against the profitable years it is working towards. The simpler return costs more than it saves.

Whether that applies to you is a question for your adviser. What matters commercially is that it is a decision to be modelled rather than defaulted into, and it sits exactly where the finance conversation and the growth conversation meet. That is the point where most small and mid-sized businesses have nobody in the room holding both. A fractional CMO working alongside your accountant is one way to fill that gap.

What to do with a three-year window

Assume you have decided to cross AED 3m at some point before 2029. The relief has bought you a period of simplified compliance and reasonable certainty. The question is what you build with it.

Build the assets that keep working when you stop paying

Positioning, a reason to be chosen, brand search, an owned audience, a partner network, customer data you actually hold. These compound. Paid media does not. Spend three years renting attention and building nothing you own, and you arrive at 2029 with the same problem and a higher cost of acquisition.

Get measurement in place before you need it

The most common thing I see in UAE small and mid-sized businesses is a company trading four years that cannot say which activity produced its best customers. If you intend to cross AED 3m, you want to know what got you there, because the year after is when you will be asked to do it again with a bigger number. Set the baseline now. It costs almost nothing and it is worth a great deal later.

Fix the revenue mix, not only the revenue

Crossing AED 3m on 40 clients is a different business from crossing it on four. One of those is a company. The other is four relationships in a company costume. The relief window is a good time to deal with concentration risk, while the compliance burden is light.

Decide what you are not doing

Three years feels like a lot of time. It is twelve quarters, and most plans contain more activity than twelve quarters can absorb. The businesses that grow through this window will be the ones that pick three things and finish them.

The wider context

This extension has arrived in a year that has become harder than anyone forecast. The Central Bank of the UAE cut its 2026 real GDP growth forecast from 5.6 per cent to 1.7 per cent in its June review. The July purchasing managers' survey recovered to 52.7, but only 7 per cent of firms expected an uplift in the year ahead, and business confidence in Dubai sat at a four-month low.

Set against that, three years of compliance certainty for businesses under AED 3m is genuinely useful. It is one of the few fixed points available. The businesses that treat it as a reason to plan will do considerably better than the ones that treat it as a reason to relax.

Three questions for your next management meeting

  1. Are we planning to cross AED 3 million in revenue, and in which financial year?
  2. If we are running a loss in any period to build the business, have we modelled what electing the relief does to that loss?
  3. What are we building over the next three years that we will still own in 2029?

If the answer to any of those is not clear, that is a conversation to have this month rather than in the last quarter before your year end.

The threshold changes how a business plans its first three years here, which is one of the things I work through on UAE market entry engagements.

Five takeaways

  • The relief now runs to tax periods ending on or before 31 December 2029.
  • AED 3 million is a revenue test. Your margin does not affect eligibility.
  • Cross the threshold once and the relief is gone permanently.
  • Electing the relief means losses in that period cannot be carried forward.
  • Free zone companies with qualifying income cannot elect it at all.

Frequently asked questions

Select a question to open the answer.

What is UAE small business relief?

It is a corporate tax measure that allows a UAE resident business with revenue at or below AED 3 million to be treated as having no taxable income for that period, with simplified compliance requirements. It was introduced by Ministerial Decision No. 73 of 2023 under Federal Decree-Law No. 47 of 2022.

Has small business relief been extended?

Yes. Ministerial Decision No. 131 of 2026, announced on 7 August 2026, extends the relief to tax periods ending on or before 31 December 2029. It had previously been due to end on 31 December 2026. The AED 3 million threshold is unchanged.

Is the AED 3 million threshold based on revenue or profit?

Revenue. The threshold is AED 3,000,000 for each tax period, and revenue is determined in accordance with the accounting standards accepted in the UAE. Profitability does not affect eligibility, so a low-margin business above AED 3 million of turnover is outside the relief while a high-margin business below it is inside.

Does the AED 3 million test look at previous years as well?

Yes. Under Article 2 of Ministerial Decision No. 73 of 2023, a taxable person cannot elect small business relief if revenue in any relevant or previous tax period has exceeded the threshold. Tax periods in scope are those commencing on or after 1 June 2023. This look-back is what makes the loss of the relief permanent once you cross AED 3 million.

Can free zone companies claim small business relief?

A Qualifying Free Zone Person cannot elect small business relief, because it already benefits from a 0 per cent rate on qualifying income. Free zone entities that do not meet the Qualifying Free Zone Person conditions are treated differently. Confirm your own status with your adviser before planning around it.

Is small business relief automatic?

No. It has to be elected through the corporate tax return for each relevant tax period. Registration, filing and record-keeping obligations continue whether or not the relief is elected, although a simplified return is available to those who elect.

What happens if my revenue exceeds AED 3 million?

The relief is lost. Article 2 of Ministerial Decision No. 73 of 2023 says a taxable person cannot elect the relief if revenue in any relevant or previous tax period has exceeded the threshold, so exceeding it once means you cannot reclaim the relief in a later period even if revenue falls back below AED 3 million.

Does electing small business relief affect my tax losses?

Yes, and this is the detail most often missed. Where the relief is elected in a tax period, tax losses incurred in that period cannot be carried forward to subsequent periods. The same applies to net interest expenditure incurred in that period. A business running a planned loss to build market position should model this before electing.

Can I split my company to stay under the threshold?

No. Where the Federal Tax Authority establishes that a business has been artificially separated and combined revenue exceeds the threshold, the arrangement is treated as one made to obtain a corporate tax advantage and falls under the general anti-abuse rule.
